Abstract: Turkmenistan has rich oil and gas resources and is an oilgas exporter. Since its independence in October 27, 1991, its political and economic pattern has been stable and relationship with China has been friendly, establishing cooperation with China in oilgas resources. This paper mainly expounds the relevant laws about ownership and management mechanism, exploration license, the contractor’s rights and obligations, signing and effect of oil operation contracts, oilgas mining tax, environmental protection. The purpose of this paper is to analyze the legal environment for investment in Turkmenistan’s oil and gas resources, and then summarizes the legal problems that should be paid attention by foreign investors about Turkmenistan’s cooperation in oil and gas resources, providing some law advices Chinese investors to oil and gas resource exploitation. 

摘要： 土库曼斯坦油气资源丰富，是油气出口国。自1991年独立以来，其国内政治经济稳定，与中国关系友好，这为中国与土库曼斯坦展开油气资源合作奠定了基础。主要从土库曼斯坦针对外国人开采油气资源的相关法律中对土库曼斯坦油气资源的所有权与管理机构、油气资源勘探与开采的许可制度、承包商的权利与义务、石油作业合同订立与效力、油气开采税费制度、环境保护制度进行阐述。旨在对土库曼斯坦油气资源投资的法律环境进行分析，总结国外投资者与土库曼斯坦油气资源合作应注意的法律问题，为中国投资者到土库曼斯坦开采油气资源提供法律上的建议。
